Lotus Helm makes reasonable efforts to ensure that service descriptions and pricing information are current and accurate. However, we reserve the right to adjust service offerings, scope, and pricing without prior notice. Any price changes will not affect engagements already confirmed in writing.

5. Engagements, Fees and Payment

All fees quoted are in Thai Baht (฿) and are exclusive of any applicable value-added tax (VAT) unless stated otherwise. Payment terms, invoicing schedules, and any deposit requirements are set out in the engagement agreement.

Fees quoted on this website represent our standard schedule at the time of publication. Final fees for a specific engagement may vary depending on scope adjustments agreed with the client.

Invoices are payable within the timeframe specified in the engagement agreement. Late payments may incur interest charges in accordance with the terms of that agreement and applicable Thai law.

6. Cancellation and Rescheduling

Clients who need to cancel or reschedule an engagement are asked to provide notice as early as possible. Specific cancellation terms and any applicable fees are defined in the engagement agreement. In general:

• Cancellations with at least 10 business days' notice will not incur a cancellation fee beyond any non-recoverable third-party costs already committed
• Cancellations with fewer than 5 business days' notice may incur a fee to cover preparation work already completed
• For retreat engagements, venue and logistics commitments may require longer cancellation notice periods as specified in the engagement agreement

Lotus Helm will make reasonable efforts to accommodate rescheduling requests, subject to consultant availability.

7. Intellectual Property

All content on this website — including text, structure, graphics, logos, and the selection and arrangement of content — is the intellectual property of Lotus Helm and is protected under applicable Thai copyright law and international intellectual property conventions.

Deliverables produced during a consulting engagement — such as reports, frameworks, and presentations — are addressed in the relevant engagement agreement. Unless otherwise agreed in writing, Lotus Helm retains ownership of methodologies and tools developed as part of our practice, while clients receive a licence to use engagement-specific deliverables for internal business purposes.

You may not reproduce, copy, distribute, or commercially exploit any materials from this website without our prior written consent.

8. Confidentiality

Lotus Helm treats all client information shared during enquiries and engagements with discretion. We do not disclose client-specific information to third parties except where required by law, or where necessary to deliver the agreed services (for example, venue coordination for a retreat engagement).

Where clients share commercially sensitive business data as part of a consulting engagement, specific confidentiality obligations are set out in the engagement agreement. We are committed to handling such information carefully and proportionately throughout and after the engagement.

9. Limitation of Liability

To the extent permitted by law, Lotus Helm's liability in connection with any consulting engagement is limited to the fees paid by the client for the specific engagement giving rise to the claim.

Lotus Helm will not be liable for indirect, consequential, or special losses arising from the use of this website or any consulting services, including loss of profits, loss of business, or loss of anticipated savings, except where such liability cannot lawfully be excluded.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraudulent misrepresentation, or for any other liability that cannot be excluded under Thai law.
